These Terms of Service ("Terms") govern your access to and use of CommunityPrizm's white-label OTT video platform, websites, mobile applications, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you confirm that you:

  • Are at least 18 years old or the legal age of majority in your jurisdiction
  • Have the legal authority to enter into this agreement
  • Have read, understood, and agree to be bound by these Terms
  • Agree to our Privacy Policy

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

CommunityPrizm provides a white-label OTT video streaming platform that allows organizations ("Clients") to create and manage their own branded video streaming services. Our Services include:

  • Live streaming and video-on-demand hosting
  • White-label web, mobile, and TV applications
  • Payment processing and subscription management
  • Community engagement tools
  • Analytics and reporting
  • Content management systems

3. Account Registration

3.1 Account Creation

To use our Services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Account Security

You must immediately notify us of any unauthorized access to your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription Plans and Payment

4.1 Subscription Plans

Our Services are offered on a subscription basis. Plan details, features, and pricing are available on our website. We reserve the right to modify pricing with 30 days' notice.

4.2 Payment Terms

  • All fees are charged in advance on a monthly or annual basis
  • Payments are non-refundable except as required by law or as explicitly stated
  • Failed payments may result in suspension or termination of Services
  • You authorize us to charge your payment method for all applicable fees

4.3 Free Trials

We may offer free trials. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

4.4 Refunds

We offer a 30-day money-back guarantee for new subscriptions. Refund requests must be submitted within 30 days of your initial subscription payment.

5. Acceptable Use

5.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Content

You may not upload, stream, or distribute content that:

  • Infringes intellectual property rights of others
  • Contains illegal, harmful, threatening, or harassing material
  • Promotes violence, discrimination, or illegal activities
  • Contains sexually explicit material involving minors
  • Violates privacy rights of others
  • Contains malware, viruses, or harmful code
  • Impersonates others or misrepresents affiliation

5.3 Prohibited Activities

You may not:

  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Use automated systems to access the Services without permission
  • Resell or redistribute the Services without authorization
  • Remove or modify any proprietary notices
  • Use the Services to send spam or unsolicited communications

6. Content and Intellectual Property

6.1 Your Content

You retain all rights to content you upload to the platform ("Your Content"). By uploading content, you grant us a non-exclusive, worldwide license to host, store, transmit, and display Your Content solely to provide the Services.

6.2 Responsibility for Content

You are solely responsible for Your Content and ensuring you have all necessary rights and permissions. We do not endorse or guarantee the accuracy of any user-generated content.

6.3 Our Intellectual Property

The Services, including software, designs, and documentation, are owned by CommunityPrizm and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

6.4 White-Label Rights

Subject to your subscription and these Terms, you may customize and brand the client-facing portions of the platform for your end users. You may not claim ownership of the underlying platform technology.

7. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms. As a Client, you are responsible for your own privacy practices regarding your end users.

8. Third-Party Services

Our Services may integrate with third-party services (payment processors, CDNs, analytics). Your use of such services is subject to their respective terms. We are not responsible for third-party services.

9. Disclaimers

9.1 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. Services may be temporarily unavailable for maintenance or due to factors beyond our control.

9.2 No Warranty

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMMUNITYPRIZM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, HOWEVER CAUSED.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless CommunityPrizm and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Services
  • Your Content
  • Your violation of these Terms
  • Your violation of any third-party rights

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your access to the Services immediately if you violate these Terms, fail to pay fees, or engage in conduct harmful to us or other users.

12.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. You may request a copy of Your Content within 30 days of termination. After 30 days, we may delete Your Content.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect. Your continued use after changes constitutes acceptance.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.

14.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

14.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CommunityPrizm regarding the Services.

14.5 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.6 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
